These Terms & Conditions ("Terms") govern your access to and use of the NuzhatLabs website, services and applications. By using them, you agree to these Terms.

1. Acceptance of Terms

By accessing or using our website, services or applications, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our services.

2. Services

NuzhatLabs provides digital agency services including web development, custom software, mobile app development, UI/UX design and SEO, as well as our own published applications. Specific deliverables, timelines and fees are defined in a separate written proposal or agreement.

3. Quotes, Fees & Payment

  • Project fees and payment schedules are set out in your proposal/agreement.
  • Unless stated otherwise, invoices are due within the agreed timeframe.
  • Late payments may incur fees and/or pause ongoing work.

4. Intellectual Property

Upon full payment, ownership of the final deliverables created specifically for you transfers to you, except for third-party components, open-source libraries and our pre-existing tools, which remain governed by their respective licenses. We retain the right to display non-confidential work in our portfolio unless otherwise agreed.

5. Client Responsibilities

You agree to provide timely feedback, content and access required to complete the work, and to ensure that any materials you provide do not infringe the rights of third parties.

6. Acceptable Use

You agree not to misuse our website or services, including by attempting unauthorized access, distributing malware, or using the services for unlawful purposes.

7. Warranties & Disclaimers

Our services and website are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

8. Limitation of Liability

To the fullest extent permitted by law, NuzhatLabs shall not be liable for any indirect, incidental, special or consequential damages. Our total liability for any claim shall not exceed the amount paid by you for the relevant services.

9. Indemnification

You agree to indemnify and hold NuzhatLabs harmless from any claims arising out of your use of the services or your breach of these Terms.

10. Termination

Either party may terminate an engagement as set out in the applicable agreement. We may suspend or terminate access to our website or services for any violation of these Terms.

11. Refunds

Refunds, where applicable, are governed by our Refund Policy.

12. Governing Law

These Terms are governed by the laws of the State/Country of [Your Jurisdiction], without regard to its conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located there.
